These Terms of Service ("Terms") govern your use of the ReadyAgent application and website (the "Service"), operated by ReadyAgent Pte. Ltd. ("we," "our," or "us"), a company registered in Singapore. By installing, accessing, or using the Service, you agree to be bound by these Terms.
ReadyAgent is an AI commerce readiness platform that scores and optimizes product listings for AI shopping agents. The Service analyzes your product data from connected selling platforms, assigns readiness scores, generates remediation recommendations, and provides AI-referred revenue attribution.
The Service is designed for use by e-commerce merchants and their authorized agents. You must be at least 18 years old and have the legal authority to bind the business entity on whose behalf you are using the Service.
Shopify merchants access the Service by installing ReadyAgent from the Shopify App Store. Your Shopify account serves as your authentication. By installing the app, you authorize ReadyAgent to access your store data as described in our Privacy Policy.
Non-Shopify merchants access the Service by creating an account with an email address and password. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.
You may connect one or more selling platforms (Shopify, Etsy, eBay) to your account by authorizing access through each platform's OAuth flow. You may disconnect a platform at any time through your account settings.
ReadyAgent offers a free tier and paid subscription plans. Features, SKU limits, and scan frequency vary by plan as described on our pricing page.
For Shopify merchants, billing is handled through Shopify's Billing API. Charges appear on your Shopify invoice. Shopify's billing terms apply in addition to these Terms.
For non-Shopify merchants, billing is handled through Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring monthly basis through Stripe.
Upgrades take effect immediately, with prorated charges for the remainder of the current billing period. Downgrades take effect at the end of the current billing period. You retain access to your current plan's features until the period ends.
Cancellation. You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial billing periods. After cancellation, your account reverts to the Free tier.
By connecting a selling platform to ReadyAgent, you grant us permission to access your product catalog, store configuration, and analytics data through that platform's API, as described in our Privacy Policy. You represent that you have the authority to grant this access.
We access your data in read-only mode for scoring and analysis purposes. Write operations occur only when you explicitly approve a content fix or optimization, and only to the specific fields you authorize. Every write-back is logged, and you can revert any applied change.
We do not access or store your customers' personal information. We do not access your financial accounts, banking information, or payment processing credentials.
ReadyAgent uses AI (large language models) to generate content suggestions, score explanations, and remediation guidance. You acknowledge that:
ReadyAgent readiness scores are computed using deterministic rules based on publicly available standards and platform requirements (schema.org, UCP, platform-specific listing guidelines). Scores are informational and represent our assessment of listing readiness for AI commerce. We do not guarantee that a high score will result in visibility, traffic, or sales from any AI shopping agent or platform.
Scoring rules are updated periodically to reflect changes in AI commerce standards. When rules change, your scores may change accordingly. We will notify you when significant rule updates occur.
AI revenue attribution data is provided on a best-effort basis using your platform's native analytics. Attribution methodologies have inherent limitations, and we do not guarantee the accuracy or completeness of attribution data. Revenue figures should be treated as estimates and should not be relied upon as the sole basis for business decisions.
You agree not to:
The Service, including its scoring algorithms, rule definitions, user interface, and documentation, is owned by ReadyAgent Pte. Ltd. and protected by applicable intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes.
You retain ownership of all product data, content, and other materials you provide to or create through the Service.
To the maximum extent permitted by law, ReadyAgent and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising from your use of or inability to use the Service.
Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
Specifically, we are not liable for any losses resulting from changes to your product listings made through the Service's write-back features, even if those changes were based on AI-generated suggestions. You are responsible for reviewing and approving all changes before they are applied.
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any defects will be corrected.
You agree to indemnify and hold harmless ReadyAgent and its officers, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
We may suspend or terminate your access to the Service at any time if you violate these Terms or if we determine, in our sole discretion, that your use poses a risk to the Service or other users. We will provide reasonable notice when possible.
Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days to allow you to export it, after which it will be deleted in accordance with our Privacy Policy.
We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree with the updated Terms, you may cancel your subscription and stop using the Service.
These Terms are governed by and construed in accordance with the laws of Singapore, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Singapore.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
